1. Acceptance of Terms

By accessing or using any Effective Solutions platform or service — including but not limited to Agentic Contract Management (ACM), Agentic Test Automation (ATA), Agentic Creative Writing (ACW), Agentic Rhythm Station (ARS), and Agentic Content Hub (ACH) — you agree to be bound by these Terms and Conditions. If you do not agree, you must cease use immediately.

2. Eligibility & Account Registration

You must be at least 18 years of age and have full legal authority to enter into binding agreements on behalf of your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or security breach.

3. License Grant

Subject to your compliance with these Terms, Effective Solutions grants you a limited, non-exclusive, non-transferable, revocable license to access and use our platforms solely for your internal business purposes during the subscription term. This license does not include the right to sublicense, resell, reverse-engineer, or create derivative works based on our platform.

4. Acceptable Use

You agree not to:

• →Use our platform to process, store, or transmit unlawful, harmful, or fraudulent content.
• →Attempt to circumvent security controls, access controls, or authentication mechanisms.
• →Use automated scripts or bots to access the platform in a manner that exceeds reasonable usage thresholds.
• →Engage in any activity that disrupts the integrity or performance of our infrastructure.
• →Upload content that infringes any third-party intellectual property rights.

5. Intellectual Property

All platform software, UI designs, algorithms, agentic pipeline architectures (including the Node-Scoring Algorithm and Demand-Driven Orchestrator), trademarks, and brand assets are the exclusive intellectual property of Effective Solutions or its licensors. Nothing in these Terms transfers any IP rights to you.

You retain full ownership of the documents, contracts, and data you upload. By uploading content, you grant Effective Solutions a limited license to process that content solely to provide the contracted services.

6. Payment & Subscription

Subscription fees are billed in advance on a monthly or annual basis as agreed in your order form. All fees are non-refundable except where required by applicable law. We reserve the right to modify pricing with 30 days' advance notice. Failure to pay may result in suspension or termination of access.

7. Data Processing

Where Effective Solutions processes personal data on your behalf as a data processor, such processing is governed by our Data Processing Agreement (DPA), which is incorporated into and forms part of your enterprise subscription agreement. Please contact us to obtain a copy of the DPA.

8. Service Availability & SLA

We target 99.9% monthly uptime for production environments. Planned maintenance windows will be communicated at least 48 hours in advance. Scheduled maintenance is excluded from uptime calculations. Service Level Agreement (SLA) credits, where applicable, are governed by your enterprise agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Effective Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use our services. Our total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs are advisory in nature and do not constitute legal, financial, or professional advice.

11. Term & Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach with 30 days' written notice if the breach is not cured within that period. Upon termination, your license is revoked and we will provide a data export window of 30 days before secure data deletion.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in Delaware, except where injunctive relief is sought to protect intellectual property rights.

13. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or platform notification. Continued use after the effective date of any changes constitutes acceptance.
